Enterprise SaaS - Private Deployment Model
Code Comprehend is Enterprise SaaS software with flexible deployment options (on-premises, private cloud, or dedicated VPC). These Terms govern software licensing, deployment, updates, and support services. Source code remains within private infrastructure under organizational control. Enterprise customers typically execute Master Service Agreements (MSAs) and Data Processing Agreements (DPAs) with additional terms.
1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "Enterprise Customer," "you," or "your") and Code Comprehend LLC ("Code Comprehend," "we," "us," or "our"), an enterprise SaaS provider, governing your access to and use of the Code Comprehend platform, including our website, applications, and services (collectively, the "Service").
Enterprise Customers: If you are a large enterprise, you may have a separate Master Service Agreement (MSA), Data Processing Agreement (DPA), or Business Associate Agreement (BAA) that supplements these Terms. In case of conflict, your executed enterprise agreement takes precedence.
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
2. Service Description
Code Comprehend is Enterprise SaaS software that deploys in customer infrastructure, offering two products:
Product 1: Comprehend
Analyzes any application (modern or legacy) across COBOL, Java, .NET, Python to extract intelligence, generate documentation, and map architecture—all within your infrastructure.
Product 2: Modernize
Provides AI-guided transformation roadmaps, architecture evolution plans, and modernization strategies—analyzed locally, with zero external data transmission.
Deployment Model: Both products support flexible deployment (on-premises, private cloud, or air-gapped environments). Source code, analysis results, and metadata remain within private infrastructure under organizational control.
3. Account Registration and Eligibility
3.1 Eligibility
You must be at least 18 years old and legally capable of entering into binding contracts to use the Service. By registering, you represent and warrant that you meet these requirements.
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access or security breach
- Ensuring accurate and current account information
4. Subscription Plans and Pricing
4.1 Subscription Tiers
We offer multiple subscription plans (Freemium, Professional, Enterprise) with varying features, usage limits, and pricing. Current plans and pricing are available on our website.
4.2 Payment Terms
- Subscription fees are billed in advance on a monthly or annual basis
- Payments are non-refundable except as required by law or as expressly stated in these Terms
- You authorize us to charge your payment method for all applicable fees
- Failure to pay may result in Service suspension or termination
4.3 Price Changes
We reserve the right to modify pricing with 30 days' advance notice. Continued use of the Service after the effective date constitutes acceptance of new pricing.
5. Intellectual Property Rights
5.1 Your Content and Code
You Own Your Code and Data:
- ✓You retain all ownership rights to your source code, data, and content
- ✓You grant us a limited license to process your code solely to provide the Service
- ✓We do not claim ownership of analysis results or generated documentation
- ✓You may export and delete your data at any time
5.2 Code Comprehend Platform
The Service, including all software, algorithms, designs, trademarks, and content (excluding Customer content), is owned by Code Comprehend and protected by copyright, trademark, and other intellectual property laws. You may not:
- Copy, modify, or create derivative works of the Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Rent, lease, sell, or sublicense access to the Service
- Remove or alter any proprietary notices or labels
6. Acceptable Use Policy
You agree not to:
- Violate any applicable laws or regulations
- Upload malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service or servers
- Use the Service to analyze code you do not own or have permission to analyze
- Scrape, data mine, or extract data using automated means (except via approved APIs)
- Use the Service for competitive analysis or to build competing products
- Share your account credentials or allow unauthorized users to access the Service
7. Data Privacy and Security
We process your data in accordance with our Privacy Policy and applicable data protection laws. Key commitments:
- Your source code is never used to train shared AI models
- Data is encrypted in transit (TLS 1.3) and at rest (AES-256)
- Enterprise customers can request single-tenant deployments and data residency
- We maintain SOC 2 Type II compliance and undergo regular security audits
8. Service Availability and Support
8.1 Service Level
We strive to maintain 99.9% uptime for paid subscriptions. Enterprise customers receive specific SLA guarantees as outlined in their agreements.
8.2 Maintenance
We may perform scheduled maintenance with advance notice. Emergency maintenance may occur without notice.
8.3 Support
- Freemium: Community support and documentation
- Professional: Email support with 48-hour response time
- Enterprise: Priority support with dedicated account management and custom SLAs
9. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of using the Service. This obligation survives termination of these Terms.
Your source code and analysis results are considered your Confidential Information and will be protected accordingly.
10. Warranties and Disclaimers
10.1 Our Warranties
We warrant that the Service will perform substantially in accordance with our published documentation when used as intended.
10.2 Disclaimer
IMPORTANT DISCLAIMER:
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. AI-GENERATED INSIGHTS ARE PROVIDED AS RECOMMENDATIONS AND SHOULD BE VALIDATED BY QUALIFIED PROFESSIONALS.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODE COMPREHEND SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow limitation of liability for certain types of damages, so some of the above limitations may not apply to you.
12. Indemnification
You agree to indemnify, defend, and hold harmless Code Comprehend and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property rights
- Your content or code uploaded to the Service
13. Term and Termination
13.1 Subscription Term
Your subscription continues until cancelled by you or terminated by us in accordance with these Terms.
13.2 Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds for partial periods.
13.3 Termination by Us
We may suspend or terminate your access immediately if you:
- Violate these Terms or our Acceptable Use Policy
- Fail to pay applicable fees
- Engage in fraudulent or illegal activity
- Pose a security risk to the Service or other users
13.4 Effect of Termination
Upon termination, your right to access the Service ceases immediately. We will retain your data for 90 days to allow for data export, after which it will be deleted unless legally required to retain it.
14. Dispute Resolution
14.1 Informal Resolution
Before filing a claim, you agree to contact us at legal@codecomprehend.ai to attempt to resolve the dispute informally.
14.2 Arbitration
Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules. The arbitration will be conducted in Atlanta, Georgia, USA.
14.3 Class Action Waiver
You agree to bring claims only in your individual capacity and not as part of any class or representative action.
15. Governing Law
These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict of law principles. Any disputes not subject to arbitration shall be brought exclusively in the state or federal courts located in Atlanta, Georgia.
16. Changes to Terms
We may modify these Terms at any time. Material changes will be notified via email or through the Service at least 30 days before they take effect. Your continued use after changes become effective constitutes acceptance of the modified Terms.
17. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Code Comprehend.
- Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
- No Waiver: Our failure to enforce any provision does not constitute a waiver of that provision.
- Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger or acquisition.
- Force Majeure: We are not liable for delays or failures caused by circumstances beyond our reasonable control.
